SPARROWSURE MOBILE APPLICATION END USER LICENSE AGREEMENT

This Mobile Application End User License Agreement (“Agreement”) is a binding agreement between you (“End User” or “you”) and SparrowSure, Inc. (“SparrowSure,” “Company,” “we,” or “us”). This Agreement governs your use of the SparrowSure mobile application (including all related documentation, the “Application”). The Application is licensed, not sold, to you.
BY DOWNLOADING, INSTALLING, REGISTERING WITH, OR USING THE APPLICATION, YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT; (B) REPRESENT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; AND (C) ACCEPT THIS AGREEMENT AND AGREE THAT YOU AND ANY BUSINESS OR ENTITY THAT YOU ARE ACTING ON BEHALF OF ARE LEGALLY BOUND BY ITS TERMS. IF YOU DO NOT AGREE, OR IF YOU ARE NOT AUTHORIZED TO ENTER INTO THIS AGREEMENT ON BEHALF OF THE BUSINESS OR ENTITY FOR WHOM YOU ARE USING THIS APPLICATION, DO NOT DOWNLOAD, INSTALL, REGISTER WITH, OR USE THE APPLICATION AND DELETE IT FROM YOUR MOBILE DEVICE OR OTHER DEVICE.

License Grant.

Subject to the terms of this Agreement, SparrowSure grants you a limited, non-exclusive, nontransferable license to download, install, and use the Application strictly in accordance with the Application’s documentation.

License Restrictions.

Except as may be expressly permitted by applicable law or expressly authorized by the Application, you shall not:

- (a) copy the Application, except as expressly permitted by this license;
- (b) modify, translate, adapt, or otherwise create derivative works or improvements of the Application;
- (c) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Application;
- (d) remove, delete, alter, or obscure any intellectual property or proprietary rights notices from the Application;
- (e) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Application or any features or functionality to any third party;
- (f) use any robot, spider, or other automatic device to access the Application;
- (g) use any manual process to monitor or copy material on the Application not expressly authorized;
- (h) frame, mirror, or incorporate the Application or any portion thereof into any other application, website, or service;
- (i) use the Application in any manner that could disable, overburden, damage, or impair the Application or interfere with others’ use; or
- (j) remove, disable, circumvent, or implement any workaround to any copy protection, rights management, or security features in or protecting the Application.

Reservation of Rights.

You acknowledge and agree that the Application is provided under license, and not sold, to you. You do not acquire any ownership interest in the Application under this Agreement, or any other rights thereto other than to use the Application in accordance with the license granted and subject to all terms herein. SparrowSure and its licensors and service providers reserve and shall retain all rights, title, and interest in and to the Application, including all intellectual property rights, except as expressly granted to you.

Collection and Use of Your Information; Privacy.

When you download, register with, or use the Application, SparrowSure may collect information about you and the business or entity you are acting on behalf of, including through automatic means, and you may be required to provide certain information, including providing access to information from third parties, as a condition to using certain features. All information we collect through or in connection with the Application is subject to the SparrowSure Privacy Policy, and by using the Application, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy. The Privacy Policy describes our practices regarding data collection, including categories collected (such as contact information, location information, profile content, and images with consent), sources, purposes of use (including service delivery, improvement, notices, promotions, and contractual obligations), disclosures (including to affiliates, service providers, payment processors, and in connection with corporate transactions), security, retention, and your rights and choices. SparrowSure does not intend its Services for children under eighteen (18) and does not knowingly collect Personal Data from them; if such collection is discovered, SparrowSure will delete that information as required by law. Content and Services.

The Application may provide you with access to SparrowSure’s websites and services, and certain features, functionality, and content accessible on or through the Application may be hosted on such websites. Your access to and use of such content and services are governed by this Agreement and the Privacy Policy.

Updates.

SparrowSure may, in its sole discretion, develop and provide updates, which may include upgrades, bug fixes, patches, and new features. Updates may modify or delete features. SparrowSure has no obligation to provide any Updates or continue to enable any particular features. You agree to promptly install all Updates and acknowledge that the Application or portions thereof may not properly operate should you fail to do so. All Updates are part of the Application and subject to this Agreement.

Third-Party Materials.

The Application may display, include, or make available third-party content or provide links to third-party websites or services, including through third-party advertising. This may include, when opted by the user, access to various third-party human resources platforms and other platforms integrated by the user into the Application. SparrowSure is not responsible for and does not independently verify any such Third-Party Materials and will have no liability arising from or related to them. Access and use are at your own risk and subject to such third parties’ terms and conditions.

Term and Termination.
- (a) The term of this Agreement commences when you download, install, or acknowledge acceptance of the Application and continues until terminated by you or SparrowSure.
- (b) You may terminate by deleting the Application and all copies from your Mobile Device.
- (c) SparrowSure may terminate at any time without notice, including if it ceases to support the Application, or automatically if you violate any terms of this Agreement.
- (d) Upon termination, all rights granted to you terminate and you must cease use and delete all copies of the Application.
- (e) Termination will not limit any rights or remedies available to SparrowSure at law or in equity.

No Legal Advice; Compliance Responsibility.

SparrowSure provides the Application, content, and any outputs, recommendations, or materials for general informational purposes only and does not provide legal, regulatory, tax, accounting, or professional advice, opinions, or recommendations. You acknowledge and agree that you are solely responsible for determining and verifying your compliance with all applicable laws, regulations, and industry standards, and you should consult your own qualified professional advisors as needed. SparrowSure does not independently verify Third-Party Materials and has no liability arising from or related to them, and your access to and use of such materials is at your own risk and subject to those third parties’ terms.

Disclaimer of Warranties.

THE APPLICATION IS PROVIDED “AS IS” AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARROWSURE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WITHOUT LIMITATION, WE DO NOT WARRANT THAT THE APPLICATION WILL MEET REQUIREMENTS, ACHIEVE INTENDED RESULTS, BE COMPATIBLE OR OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SPARROWSURE OR ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS HAVE ANY LIABILITY ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APPLICATION OR ANY CONTENT AND SERVICES FOR: (A) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, COST OF SUBSTITUTE GOODS OR SERVICES, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COMPUTER FAILURE; OR (B) DIRECT DAMAGES IN AMOUNTS THAT IN THE AGGREGATE EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE APPLICATION. THE FOREGOING APPLY WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF FORESEEABLE OR ADVISED OF THE POSSIBILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME LIMITATIONS MAY NOT APPLY.

Indemnification.

You agree to indemnify, defend, and hold harmless SparrowSure and its officers, directors, employees, agents, affiliates, successors, and assigns from and against all losses, damages, liabilities, claims, actions, and expenses (including reasonable attorneys’ fees) arising from or relating to your use or misuse of the Application or your breach of this Agreement, including content you submit or make available through the Application.

Export Regulation.

The Application may be subject to U.S. export control laws. You shall not export, re-export, or release the Application to, or make it accessible from, any jurisdiction or country to which such actions are prohibited. You shall comply with all applicable laws and complete all required undertakings prior to exporting, re-exporting, releasing, or making the Application available outside the U.S.

U.S. Government Rights.

If you are an agency of the U.S. Government or any contractor therefor, you receive only those rights with respect to the Application as are granted to all other end users under license, pursuant to applicable federal acquisition regulations.

Severability.

If any provision of this Agreement is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term and all other provisions will continue in full force and effect.

Governing Law; Venue.

This Agreement is governed by and construed in accordance with the internal laws of the State of Georgia, without regard to conflicts principles. Any legal suit, action, or proceeding arising out of or related to this Agreement or the Application shall be instituted exclusively in the federal or state courts located in [City and County to be determined], and you waive objections to jurisdiction and venue in such courts.

Limitation of Time to File Claims.

ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE APPLICATION MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES OR SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Entire Agreement; Conflicts; Waiver.

This Agreement and our Privacy Policy constitute the entire agreement between you and SparrowSure with respect to the Application and supersede all prior or contemporaneous understandings and agreements concerning the Application. In the event of a conflict between this Agreement and any applicable purchase or other terms, this Agreement governs. No failure or delay by either party in exercising any right hereunder operates as a waiver thereof.

Your Rights and Choices Under Privacy Laws.

Depending on your jurisdiction, you may have rights to access, data portability, correction, deletion, and to opt out of certain uses of Personal Data, subject to exceptions. You can review and change your personal information by logging into the Application and visiting your account profile page at any time. To exercise rights, contact SparrowSure at legal@sparrowsure.com, or SparrowSure, Inc., 5008 Falling Springs Road, Valdosta, Georgia 31602-5019. SparrowSure will respond without undue delay, and within the timeframes permitted by law, and provide appeal instructions if a request is declined.

Security and Retention.

We use commercially reasonable administrative, physical, and technical measures designed to protect Personal Data and other data, but we cannot guarantee complete security. Any transmission of data is at your own risk. Your information is stored on servers within the United States and retained for as long as reasonably necessary for the purposes described in the Privacy Policy or as legally permitted or required; at the end of the retention period, Personal Data will be deleted, destroyed, or de-identified.

Third-Party Collection; Marketing; Do Not Sell.

Third parties, such as analytics providers, device manufacturers, and mobile service providers, may use tracking technologies to collect information about your use of the Application over time and across services. We do not control these third parties’ tracking technologies. We may disclose Personal Data to third parties to market their products or services to you if you have not opted out. State consumer privacy laws may provide additional rights; California residents should consult the California Privacy Policy.

Corporate Transactions.

We may disclose or transfer Personal Data in connection with or during negotiation of any merger, acquisition, financing due diligence, bankruptcy, receivership, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of SparrowSure’s assets, including as part of diligence and to successors.

We may update our Privacy Policy from time to time and will provide notice as required by law, including updating the “Last Updated” date and posting the updated policy. Continued use after changes constitutes acceptance.
